2 ASI Direct Digital Signage Compensation Model I. Overview This following compensation models are provided for review, comments and ideally agreement. It is anticipated that there is not one model that will fit all but is our expectation that these models will provide a level of structure and understanding of the basic models for engagement and compensation that will provide affiliates interested in following the Direct Digital delivery model appropriate motivation. II. Compensation & Engagement Models: A. Affiliate Digital Project Referral Only 1. Affiliate Sales person identifies and qualifies project lead 2. Project meets project qualification criteria for Direct Digital Involvement a. Project Scope & budget includes multiple digital signage applications b. Project requires specific software application development c. Project requires content development 3. Affiliate office agrees no client relationship requirement dictates affiliate sales involvement through project closing process 4. Proposed Compensation Models: a. Affiliate captures all margin for housing and installation, Direct Digital Group captures all margin for Digital Hardware, software, content and project management of digital development. i. Direct Digital project portions to generate fee based on B (4) above depending on project value.

Affiliates interested in pursuing digital signage projects on a direct basis locally will need to establish credit with the following accounts in order to enable the purchasing of digital signage components. 5 About Slimline The Slimline digital signage solution is comprised of software, hardware, support services and enclosures. Slimline is designed to be a straight- forward, turn- key solution that does not resort to nickel and diming the client on every function / cost associated with a digital sign. 6 Pricing Slimline When pricing Slimline, we recommend following a four step process which is broken out by four categories: Standard Pricing Formula Add Hardware, Media Player, Software License 2. Installation, Project Management Wholesale vs. Retail Pricing ASI has provided wholesale costs as well as a recommended retail price for the hardware, software, licensing and annual fees. The retail pricing should be used as a guideline for establishing a quote. Retail pricing shown has been identified as the market bearing rates for the item being quoted. However, sales consultants should analyze the needs of the client and price Helix as they see fit. While affiliates are not required to sell at the retail price listed in this Sales Information Guide, it is highly recommended. Standard and Custom Pricing Please bear in mind that all pricing shown in the pricing sections is based on the standard offering. If any custom hardware, software or content is needed, then sales consultants will need to work directly with ASI Digital Team to determine pricing. The pricing sections are separated into the four standard sign types: Passive Information Boards, Interactive Directories and Displays, and Room Schedulers. IMPORTANT PRICING NOTES: The $799 On- Demand Content Management System Subscription is an annual fee, and it is per user portal. This is sold in one (1) year increments by project. Q.) What happens if the client does not renew? A.) The sign will continue to work but the client will lose the ability to update the sign. Nexus will invoice the ASI affiliate 30- days before expiration, and the affiliate should contact the client to negotiate. Q.) Can I change the fee by offering it in multi- year packages? A.) Yes. Please contact Nexus for more details. On one- time Player License fee is charged per sign. This is similar to having to own a copy of Microsoft Office for every computer on which Office will run. Application Design Fee is a One Time Fee, and design time varies by sign type. Price includes template and content implementation by Nexus. Installation, taxes and shipping costs not included in the pricing grids Software Service Agreement Information Nexus has an 800# exclusively for ASI customers which will reach Nexus support staff and be answered as the ASI Digital Signage Support line. Silver Level Support: Guaranteed 48 hour issue response time via e- mail only. Included at NO charge to ASI. Silver support is included with the software license and is good for three years. Gold Level Support: Guaranteed 24 hour issue response time via e- mail and limited phone support. This is sold in one (1) year increments. Nexus will charge ASI for one (1) year. Platinum Level Support: Guaranteed 8 hour issue response time via e- mail and 24/7 phone support with dedicated client services manager. This is sold in one (1) year increments.

15 Content Service and Sales Tip Consider adding additional pricing onto the service fees or a bundled fee for local affiliate work to pre- populate the solution with actual client imagery, messages, and content before installation. As part of the additional fee, affiliates can add in a quarterly service check to ensure that content updated (either through training or by updating the content) and sign is functioning properly for the first year. This is also a great way to suggest additional digital solutions offered by Nexus. Remember, the system is scalable - - therefore, if the client only has an Passive Info Board, but realizes two Room Schedulers and an Interactive Directory would be a good addition, the system can handle it.
