Phase 1: Perform Name Search You will need to come up with up-to 2 company name suggestions that our Registration Team will perform name search to check its availability for registration. Please make sure that you include the word Ltd or Limited at the end of your company name e.g. Dealpoa Ltd or Dealpoa Limited. Please note that ecitizen do not allow abbreviation on company names e.g. D S Holdings Ltd or D & S Enterprise Ltd. Duration: 2 working days (Subject to ecitizen workload & processing time) Phase 2: Collection of Requirements You will need to gather your requirements that will be used to submit your company application. We will send you the requirement form via that will help you to fill in your details such as Full names of directors, Occupation, Postal address, Shares allocation, Situation of Registered Office, physical residential address and Proof of Identities (Copy of ID, Passport Photo, and Copy of itax KRA PIN Certificate). Duration: 1-2 working days (Subject to Requirements Provided) Phase 3: Company Registration Processing Once we have received your requirements, we will submit them on your ecitizen account. You will be required to sign, scan and back to us the company documents. We will submit the signed documents on your behalf and then proceed to make follow-up of your company registration application until the process is complete. Duration: 10 working days (Subject to ecitizen workload & processing time) Phase 4: Certificate of Incorporation Once the registration is complete, you ll be issued with Certificate of Incorporation, Form CR2 (Memorandum), Form CR8 and CR12 Letter. We will proceed to deliver your document to you via since Company Registry has digitized its processes. 2 Duration The duration for registering a limited company varies based on your requirements and also ecitizen workload. To avoid any delays we recommend you to prepare all your requirements in advance before the registration process begins. Here is the breakdown of the estimated time-frame you requested; 1. Name Search usually takes up-to 2 working days. 2. Submission of Company Registration application on ecitizen takes 1 working day depending if all requirements has been provided. 3. ecitizen Company Processing usually takes 10 working days to complete for the certificate of incorporation to be ready. 4. Delivery takes 1 working day considering the company documents are now electronically available. Company Registry has stop issuing physical certificate and other documents. So in total, you are looking at around 10 working days (2 weeks) for certificate of incorporation to be issued after we have submitted your application on ecitizen system. 3 Features So what will I get under Lite Plan Package? Here is the list of items you will be receiving; Certificate of Incorporation - This document will be generated by ecitizen system once registration process is complete. It will have a Registrar of Companies stamp and signature of the Registrar and also it will contain a validation code that you can send via sms to validate the certificate. This document is requiring to open a business bank account and also to register a company KRA PIN. Form CR1 This document is a company registration form that will contains the directors details such as name and designation, postal address, ID/passport number, nationality, telephone number, address and the signature. This is an important document that can be used for opening a business bank account. Form CR2 (Memorandum) - This document will contain the list of subscribers to the company shares. It will show the share holding structure of the company and the class of the shares taken. This document will also be needed to opening a business bank account. Form CR8 This document shows the residential location of each director. It will also be required when opening a business bank account. CR12 Letter This document will contain the list of directors, the shares that each director own, the office location. It is frequently used when applying for Government Tenders. 4 How Payment Works We only accept payment for company registration using our official Lipa Na Mpesa or Bank Transfer. Lite Plan Package is Ksh. 25,000. Use any payment option as shown below; Option 1: Pay Using Lipa Na Mpesa Go to M-pesa option on your phone Select "Lipa Na Mpesa" or "Buy Goods" from the M-PESA menu. Enter the Till Number Enter the exact amount of the sale Enter PIN, confirm details and await receipt. (If you opted for Lipa Na Mpesa option, you won't incur any transaction fees. You will receive a message from Safaricom indicating payment has been made to Dealpoa Limited, Please us the transaction ID so we can confirm and begin registration immediately.) Option 2: Pay Using Bank Bank Name: Co-operative Bank Account Name: Dealpoa Services Account Number: Branch Name: Parliament Road BIC Code: KCOOKENA (If you choose Bank Deposit option, please scan and us the bank slip so we can confirm payment and begin processing the service rendered immediately.) How many directors do I need to have in my company? At the moment, Company Registry only allows a minimum of 1 director and a maximum of 7 directors. If you have more than 7 people, they will be added to the company as Shareholders. Will I get KRA PIN Certificate for my Limited Company under Lite Plan? No, we only offer Company KRA PIN registration under Premium Plan. Will my documents be delivered to me once it is ready?
