With QVLP, volume discouts are both trasactioal ad cumulative, which meas you get the best of both worlds. The discout level for a particular trasactio is determied by the umber of liceses you curretly ow ad the umber of liceses you are purchasig*. Ad, ulike other programs, every licese you ow couts toward the calculatio of your price level, o matter whe or how the licese was purchased or what versio it is. Graduatio to the ext tier is automatic ad immediate. For example, if you curretly ow 25 liceses but oly 10 of them are the latest versio, your trasactios uder QVLP would qualify for the tier C discout. 7 Terms ad Coditios For Quark Licesig Programs These Terms ad Coditios shall apply to the Maiteace ad Techical Support Services, if ay, (the Services ) provided to you ( Customer ) by QUARK, as hereiafter defied, through your participatio i a Quark Licesig Program (the Program ). BY ENROLLING IN A QUARK LICENSING PROGRAM, CUSTOMER AGREES TO BE BOUND SOLELY AND EXCLUSIVELY BY THESE TERMS AND CONDITIONS, NOTWITHSTANDING ANY ADDITIONAL OR CONFLICTING TERMS CONTAINED IN ANY PURCHASE ORDER OR OTHER WRITTEN DOCUMENTATION ISSUED BY CUSTOMER. For Customers whose pricipal place of busiess is i the Americas ( North ad South America ad the Caribbea), Quark shall mea Quark Ic., a corporatio orgaized uder the laws of the State of Colorado USA with pricipal place of busiess at 1800 Grat Street, Dever, Colorado For all other Customers, Quark shall mea Quark Media House SARL, a compay orgaized uder the laws of Switzerlad with pricipal place of busiess at Moruz 2, Neuchâtel, CH-2000 Switzerlad. 1. Services. The Services to be provided by Quark to Customer are set forth i the proposal or program materials provided to you by Quark. (Hereiafter, Proposal ad Program Materials to be referred to collectively as Program Materials ). 2. Paymet. Paymet shall be made i accordace with the paymet terms set forth i the pro forma ivoice issued by Quark to Customer upo the acceptace by Customer of the Program Materials. I the evet of a coflict betwee the Program Materials ad the pro forma ivoice, the pro forma ivoice shall prevail. Customer ackowledges that its erollmet i Quark Assurace caot be reewed i the evet of ay lapse ad that it ca oly eroll afresh i Quark Assurace oly after upgradig its existig licese to the ext versio (as ad whe released). 3. Term ad Termiatio. Quark shall provide the Services for the term stated i the Program Materials (the Term ). Uless otherwise stated therei, the Term shall commece o the date Customer erolls i the Program. Quark may susped or termiate Customer s participatio i the Program upo fiftee (15) days prior writte otice to Customer i the evet of a material breach by Customer if Customer fails to cure or commece i good faith to cure such breach durig the fiftee day otice period. For the avoidace of doubt, o-paymet or breach by Customer of the ed user licese agreemet that accompaies the Quark Software shall be deemed material breaches by Customer. 4. Limitatios/Exclusios. I the evet that techical support is provided to Customer by Quark, this Sectio 4 shall apply. Quark shall have o obligatio to support: a. altered, damaged or modified Quark Software; b. Quark Software that is ot the the curret release; c. errors caused by Customer s egligece, hardware malfuctio or other causes beyod the reasoable cotrol of Quark; d. Quark Software istalled i a hardware or operatig eviromet ot supported by Quark; ad e. third-party software or compoets ot licesed through or approved by Quark. 5. Limited Warraties, Disclaimers ad Limitatios. Quark warrats that the Services will be provided i a good ad workmalike maer ad by qualified idividuals with suitable traiig, educatio ad experiece to perform the Services. Quark ca ot ad will ot guaratee that a Upgrade will be released durig the Term. Quark does ot guaratee that every issue preseted by Customer ca or will be resolved. NOTHWITHSTANDING THE FOREGOING, QUARK AND THE QUARK AFFILIATED COMPANIES MAKE NO WARRANTY OR REPRESENTATION EITHER EXPRESS OR IMPLIED WITH RESPECT TO THE SERVICES PROVIDED HEREUNDER, INCLUDING WITHOUT LIMITATION, THEIR QUALITY, PERFORMANCE, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE, IN NO EVENT WILL QUARK AND/OR THE QUARK AFFILIATED COMPANIES BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF BUSINESS, PROFITS, BUSINESS INTERRUPTION, AND/OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF THE USE OF OR THE INABILITY TO USE THE PRODUCTS OR SERVICES EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictios, states, or provices do ot allow limitatios o implied warraties, so the above limitatios may ot apply to particular customers. 6. Goverig Law, Jurisdictio ad Veue. a. Customers i the Americas. For Customers whose pricipal place of busiess is i the Americas (North, South ad Cetral America), this Program shall be govered i all respects by the laws of the Uited States of America ad the State of Colorado, U.S.A., without regard to coflict of laws priciples. As to such Customers, the District Court for the City ad Couty of Dever, State of Colorado, ad the Uited States District Court for the District of Colorado shall have sole ad exclusive jurisdictio ad veue over ay dispute arisig out of or i coectio with this Program, ad the Parties hereby submit themselves to the jurisdictio of said courts. NOTWITHSTANDING ANYTHING IN THIS SECTION TO THE CONTRARY, QUARK, THE QUARK AFFILIATED COMPANIES AND/OR THEIR LICENSORS SHALL NOT BE PREVENTED FROM ENFORCING THEIR RESPECTIVE OR COLLECTIVE INTELLECTUAL PROPERTY RIGHTS IN ANY APPROPRIATE JURISDICTION. b. Customers outside the Americas. For Customers whose pricipal place of busiess is outside the Americas, ay dispute, cotroversy or claim arisig uder, out of or relatig to this Program, icludig, without limitatio, its formatio, validity, bidig effect, iterpretatio, performace, breach or termiatio, as well as o-cotractual claims, shall be referred to ad fially determied by arbitratio i accordace with the WIPO (World Itellectual Property Orgaizatio) Expedited Arbitratio Rules (hereafter, the Rules ) i force at the time of the opeig of the proceedigs by oe arbitrator appoited i accordace with the Rules. The place of the arbitratio shall be Neuchâtel, Switzerlad. The laguage to be used i the arbitral proceedigs shall be Eglish. The dispute, cotroversy or claim shall be decided i accordace with the laws of Switzerlad. The above arbitratio clause does ot limit the right of the Parties to request temporary ad/or provisioal measures before ay court of competet jurisdictio. c. Coflict. If there is ay cofusio or dispute as to whether Paragraph 6A or 6B applies, the Parties ackowledge ad agree that Paragraph 6B regardig arbitratio i Neuchâtel, Switzerlad uder the WIPO Expedited Arbitratio Rules shall apply ad bid the parties. d. Attoreys Fees. I the evet of a dispute related to this Program, the prevailig Party shall recover its costs ad reasoable attoreys fees icurred i cojuctio with such proceedig. e. Exclusio of Uited Natios Sales Covetio. The rights ad obligatios of the Parties uder these Terms ad Coditios shall ot be govered by the provisios of the 1980 Uited Natios Covetio o Cotracts for the Iteratioal Sale of Goods, hereiafter the Covetio. These rights ad obligatios shall be govered as provided i Sectio 6 hereof. The Parties hereby agree that the Covetio does ot apply to the resolutio of ay disputes arisig out of or related to these Terms ad Coditios. 7. No Implied Waivers. The failure of either party at ay time to require performace by the other of ay provisio hereof shall ot affect i ay way the full rights to require such performace at ay time thereafter. The waiver by either party of a breach of ay provisio hereof shall ot be take, costrued, or held to be a waiver of the provisio itself or a waiver of ay breach thereafter or ay other provisio hereof. 8. Captios ad Sectio Headigs. Captios ad sectio headigs used herei are for coveiece oly, are ot a part of these Terms ad Coditios, ad shall ot be used i costruig them. 9. Assigmet. Quark may subcotract or assig its obligatios uder the Program Materials i whole or i part, or ay rights or duties thereuder, without the prior writte coset of Customer, provided such assigee ca fully satisfy Quark s obligatios thereuder. Customer may assig the beefits uder the Program i whole, but ot i part, upo prior writte otice to Quark solely i the evet of a merger, sale or other dispositio of all or substatially all of the assets of Customer, provided that, with regard to ay QuarkXPress software licesed to Customer, Quark s trasfer policies are complied with. 10. Severability. If ay provisio of the Program Materials or these Terms ad Coditios is declared ivalid, i whole or i part, by a court of competet jurisdictio, such provisio may be modified or limited i its effect to the extet ecessary to cause it to be eforceable. If ay provisio caot be so modified or limited, the such provisio shall be severed ad the remaider of the Program Materials ad these Terms ad Coditios shall remai i full force ad effect. 11. Etire Agreemet. These Terms ad Coditios ad the Program Materials costitute the etire agreemet betwee the parties pertaiig to the subject matter hereof, supersedig ay ad all previous agreemets, proposals, represetatios or statemets, oral or writte. Ay previous agreemets betwee the parties pertaiig to the subject matter of the Proposal is hereby expressly cacelled ad termiated. 12. Force Majeure.
