2 VENDOR REQUIREMENTS/TERMS OF CONTRACT: 1). TECHNICAL SUPPORT Vendor must provide a toll-free line for technical support at no additional charge to Charleston R-1 Schools during the warranty period if out of the local calling area. Vendor is required to provide 48- hour response time on any problems that may occur with digital video server, cameras, computers, servers, switches, network cabling, and camera cabling. VENDOR REQUIREMENTS/TERMS OF CONTRACT: 2). FINANCIAL STABILITY Vendor must be willing to provide financial statements and bank references if required to show financial stability to Charleston R-1 Schools. 3). EQUIPMENT DATA SHEETS Vendor must provide detailed data sheets for equipment that is quoted. All equipment must meet the bid specifications, or the bid will be rejected. 4). PRICE PROTECTION All prices must be F.O.B. to Charleston R-1 Schools. Prices quoted must be good for a period of at least one year from the date of award. Vendor must deliver, setup, install, and test all digital video recorders, cameras, computers, servers, switches, and cabling. Delivery and installation of these systems into the schools must be completed within 45 days of obtaining the purchase order. Digital Video Servers, cameras, computers, servers, switches, network cabling, and camera cabling must carry at least a one year on-site warranty. Vendor must provide on-site services after the warranty period. 5). RIGHT TO REJECT PROPOSALS Charleston R-1 Schools reserves the right to reject any or all proposals, to waive technicalities or informalities, and to accept any proposal deemed to be in the best interest of Charleston R-1 Schools. Charleston R-1 Schools will weigh price, experience, and past performance in the county before awarding the bid to any vendor.

3 6). RIGHT TO PURCHASE SELECTED ITEMS ON BID Charleston R-1 Schools reserves the right to purchase selected items on this bid. If entire funds are not available, Charleston R-1 Schools may purchase selected items throughout the school year. VENDOR REQUIREMENTS/TERMS OF CONTRACT: 7). PUBLIC SCHOOL PURCHASES/ELECTRONICPROPOSAL Any other K-12 public school or district in the State of Missouri may make purchases from this contract as long as local bid laws are met. Vendor may wish to notify other districts of this contract but agrees that Charleston R-1 Schools will hold no obligations for marketing, other than verifying that the contract is in place. 8) INSTALLATION REQUIREMENTS All Equipment shall include inside delivery and installation. Workstation installation to include unbox, setup, and domain join.
