5 CONDITIONS OF THE CONTRACT Annexure II 1.0 GENERAL: 1.1 The tender documents shall remain the property of owner and if obtained by one intending tenderer shall not be utilised by another. 1.2 The tender shall be completely filled in all the respects and shall be tendered together with requisite information and annexure. Any Tender incomplete in any respect shall be liable to rejection. 1.3 Addenda/Corrigenda to this Tender Document, if issued, must be taken into account and the tenders having reference to that will be submitted accordingly. Each Addenda/Corrigenda if any will be issued in duplicate to the Tenderer and one copy is to be signed and returned in token of acknowledgement of receipt of the same. The second copy shall be submitted along with the tender. All addenda/corrigenda issued by the owner shall become a part of the tender document. 1.4 Tender should be placed in sealed cover super scribing Tender for Creation of Website for National Rail Museum, Chanakyapuri and Rewari Steam Centre, Rewari along with the tender number and addressed to General Manager/ O&M, RITES, ROC-I, Gurgaon. Tender is to be submitted before hrs on The full name, address, fax & telephone number of the Tenderer shall be written on the bottom left hand corner of the sealed cover. The Tender will be opened on the same date i.e. on at hrs. 1.5 The sealed tenders must reach the above address before the time limits specified in the NIT. Tenders received thereafter will not be accepted. Any excuse on account of postal delay or any other reason will not be entertained. 1.6 The tender shall be opened on the date and the time specified above, in the presence of the tenderers or their authorized representative who wish to be present at the time and date of opening. Tenders received with incomplete information/details shall not be considered and liable to rejection. 2.0 DOCUMENTS: 2.1 The Tenders, as submitted, shall consist of the following: Sig. by Tenderer

6 i) Complete set of tender documents duly filled in & signed by the tenderer as Prescribed in different clauses of the tender Document. ii) Addenda/ Corrigenda if any duly signed. iii) PAN No. and Service Tax No. should also be submitted. iv) Demand Draft (DD) of Earnest Money Deposit (EMD) 2.2 Telegraphic Offer/Tender shall not be entertained and is liable to be rejected. 3.0 RATES : 3.1 The tenders shall be duly typed or clearly written in English and the rates to be quoted in figures as well as in words, the rates and amounts tendered by him as per the Scope of work in such a way that interpolation is not possible. In case of variation of rates found between the figures & words, the amount appended in words shall be final. 3.2 All prices quoted shall be firm and no variation on any account whatsoever shall be allowed for the entire duration of the contract and shall not be subject to escalation of any description including those on account of delays if any due to Force Majeure. 3.3 Rates are to be inclusive of transport, testing charges and forwarding charges up-to destination i.e. at National Rail Museum, New Delhi. 4.0 Excise duty, Sales Tax and Statutary Taxes: To be clearly mentioned for all the items as applicable, CST shall be paid as applicable. RITES is registered with Delhi VAT and TIN no. is All invoices shall be in favour of Scope Minar, Laxminagar, Delhi , indicating TIN No. and despatched to General Manager/O&M), RITES Office, 2 nd floor, RITES Bhawan, Sector 29, Gurgaon , Haryana. 5.0 CORRECTIONS AND ALTERATIONS: All corrections and alterations in the entries of tender papers shall be signed in full by the tenderer with the date. No erasing or overwriting is permissible. 6.0 ALL PAGES TO BE INITIALLED: All signatures in tender documents shall be dated. All pages of all section of tender documents shall be signed at the bottom of the page or wherever required, by the authorised signatory of the tenderer before the submission of the tender. 7.0 VALIDITY: The offer shall remain valid for 60 days from the last date of submission of the tender. 7 8.0 LIQUIDATED DAMAGE : If the Tenderer fails to supply the material / equipment or complete the work given under this contract within the agreed delivery schedules mentioned herein or any extension thereof authorized by the purchaser and / or fails to fulfil their obligations under this contract, the tenderer shall be liable to pay liquidated damages and not by way of penalty, a sum equal to ½ (half) percent per week of delay in supply of complete equipment/material subject to maximum of 10 (Ten) percent of the contract value. The compensation shall be payable by the tenderer without prejudice the rights and remedies available to the purchaser in respect of any fault/default by the tenderer. 9.0 INSPECTION :- Approval should be taken from Director/NRM Qualification Criteria: The bidder should have executed similar type of work earlier i.e. Creation of Website. Sufficient documents to this effect should be enclosed with the offer. In the absence of such Qualification Criteria, the offer may be liable for rejection WARRANTY/GUARANTY Firm shall Guaranty that the items supplied are new and ready for use on Delivery, Material if found defective due to faulty workmanship, material, or design, within a period of 12 calendar months from the date of commissioning PAYMENT TERMS: 100 % Payment will be made after successful commissioning of the Project BANK GUARANTEE: The firm should submit a Bank Guarantee amounting 10% of the cost of the Project. The Bank Guarantee will be released after warranty period ARBITRATION: If at any time, any question of dispute or differences whatsoever shall arise between RITES and the contractor with regard to or in relation to or in connection with terms given in the contract, the matter shall be referred for Arbitration to CMD/RITES who will fix up Arbitrator (s), and whose decision shall be final & binding to both the parties. 9 ANNEXURE - III Specification for Creation of a Website for National Rail Museum. I. Purpose To create a Modern, Aesthetic, informative and User-friendly Website for National Rail Museum, Chankayapuri New Delhi under Ministry of Railways. The Website should motivate people to visit the museum and also give them appropriate knowledge about Exhibits and related activities, as well as provide the latest news regarding the museum. The website should facilitate development of relationships and networks to enable NRM meet its future goals. II. Description and Scope To Design, Develop, Install and Maintain the Website for NRM. Following will be the scope: 1. Hosting a) Domain name registration with gov.in Registry for 3 Year. b) Optional, Price of Hosting should be given in the offer. 2. The Upload and Download Services Uploading and maintenance of content whenever needed 3. Tracking & Reporting Services a.) Maintenance of s involving sending automated replies, tracking, reporting and download statistics etc. b.) Automated Search Engine optimization 4. New content development: c.) Creative Designs on regular basis or One time d.) Graphic designs on regular basis or One time e.) New pages to be added

The intending vendor has to be in close contact with the National Rail Museum, Chanakyapuri for updates and changes. The NRM should be able to update remotely the site with VPN/Intranet secured connection. Ownership of the entire website including it s codebase and data will lie solely with NRM. 6.The website should incorporate necessary security features against hacking and defacement of the same. 7.Website should be developed strictly in accordance with the guidelines of Government of India for government websites, which may be downloaded from 8.Status of Level of Information should be given on top of every page. The site would contain a Discussion Forum where the Visitors can share the information and interact with NRM. 6. Website would contain interactive Map developed and integrated to view Exhibits. 7. Website should give publicity about Audio- Visual Guides provided by NRM. IV. Important Instructions to Bidders: 1. Details of all Features provided should be clearly mentioned. Modern Features not mentioned above may also be offered to make website more Useful and Attractive, especially for Children. 2. The latest Web Technologies utilised should be mentioned in the offer.

Before making offer the Bidder can visit NRM at Chanakyapuri to understand the function and role of the Rail Museum. 5. Since NRM is a National and Railway Museum, the Website should be able to highlight the National Character of Railway Exhibits, which has vast Cultural, Social, Industrial, Historical and Heritage values. 6. The draft Layout of the Website will be approved by Director/NRM before website Development is started by successful Bidder after getting Order from Rites.
