Offers which are technically not compatible with our requirement shall be summarily rejected. Part I containing technical bid only will be opened on due date and suitability will examined by C-SAG Part II containing Commercial bid will be opened upon completion of evaluation of Technical bids for compliance and technically qualified bids. 1. Tenders should reach C-SAG office, on or before the due date, in a sealed envelope superscribing the relevant tender No, and the due date of opening on or before the due date. 2. The Superscribed tender should contain 2 (two) sealed envelopes ( separate technical and commercial bids) with clear superscribe as Technical Bid and Commercial Bid, respectively. 3. Only one bid per bidder is allowed. Bidder can choose Bid all or any of the tender items. 4. Bidders sent by will be rejected 5. Late and delayed submissions will be rejected. 6. Tender validity and Price a) Your quotation shall be valid for 45 days from the date of opening of the tender. b) Prices are required to be quoted according to the units indicated in the annexed tender form. c) GST legally leviable and intended to be claimed shall be distinctly shown separately in the Commercial Bid. 9 7. Preference will be given to those tenders offering supplies from ready Items and on the basis of FOR destination/delivery at site. 8. Specifications a) Items offered shall strictly conform to the specifications in the tender. b) The tenderer shall indicate the Make, Model, dimensions, Power, battery backup, colour, environment condition, Approximate net weight, gross weight and other key parameters of the Items offered and provide catalogues, technical literature and samples, wherever necessary, along with the quotations. c) Test Certificates, wherever necessary, shall be forwarded along with supplies. Wherever options have been called for in our specifications, the tenderer shall address all such options. Wherever specifically mentioned, the tenderer could suggest changes to specifications with appropriate reasons for the same. d) All available technical literature, catalogues and other data in support of the specifications and details of the items shall be furnished along with the offer. e) Samples and demonstrations, if called for, shall be submitted free of all charges by the tenderer and the C-SAG shall not be responsible for any loss or damage thereof due to any reason whatsoever. In the event of non- acceptance of tender, the tenderer will have to take back the samples/demos at their own expense. 6. C-SAG shall be under no obligation to accept the lowest or any tender and reserves the right of acceptance and / or rejection of the whole or any part of the tender or portions of the quantity offered. 7. Corrections, if any, in the offer, must be attested and signed. All amounts shall be indicated both in words as well as in figures. Where there is difference between amount quoted in words and figures, amount quoted in words shall prevail. 9. The tenderer shall supply along with his offer, bank details as well as the attested copies of latest Income-Tax Returns, GST certificate and PAN card copy. 10. C-SAG reserves the right to place order on the successful tenderer for additional quantity at the same terms and rates quoted. 10. The authority of the person signing the tender, if called for, shall be produced. 11. Whenever offers are made on behalf of manufacturer OEM Certificate of Reseller should be submitted. TERMS & CONDITIONS OF TENDER 1. DEFINITIONS: a) The term Tenderer/Supplier shall mean, the person, firm or company with whom or with which the order for the supply of Items is placed and shall be deemed to include the Tenderer/Supplier's successors, representative, heirs, executors and administrators unless excluded by the Contract. 10 b) The term Purchase Order shall mean the communication signed on behalf of C-SAG by an Officer duly authorized intimating the acceptance on behalf of the C-SAG on the terms and conditions mentioned or referred to in the said communication accepting the tender or offer of the Tenderer/Supplier for supply of items or equipment or part thereof. 2. PRICES: The price offered by the Tenderer shall be firm and fixed. 3. GUARANTEE & REPLACEMENT: a) The Tenderer/Supplier shall guarantee that the Items supplied shall comply fully with the specifications laid down, for material, workmanship, performance and warranty, after the acceptance of the Items, if any defects are discovered therein or any defects therein found to have developed under proper use, arising from faulty Items design or workmanship, the Tenderer/Supplier shall remedy such defects at his own cost provided he is called upon to do so within the warranty period from the date of acceptance thereof by C-SAG, who shall state in writing in what respect the items or any part thereof are faulty. b) If, in the opinion of C-SAG, it becomes necessary to replace or renew any defective Items such replacement or renewal shall be made by the Tenderer/Supplier free of all costs to C-SAG, provided the notice informing the Tenderer/Supplier of the defect is given by C-SAG in this regard within the said warranty from the date of acceptance thereof. c) Shall the Tenderer/Supplier fail to rectify the defects, C-SAG shall have the right to reject or repair or replace at the cost of the Tenderer/Supplier the whole or any portion of the defective Item/s. d) The decision of the C-SAG, notwithstanding any prior approval or acceptance or inspection thereof on behalf of C-SAG, as to whether or not the Items supplied by the Tenderer/Supplier are defective or any defect has developed within the said period of warranty or as to whether the nature of the defects requires renewal or replacement, shall be final, conclusive and binding on the Tenderer/Supplier. e) All the replacement items shall also be guaranteed for the remaining art of warranty period the date of replacement. 4. PACKING FORWARDING & INSURANCE: The Tenderer/Supplier will be held responsible for the Items being sufficiently and properly packed for transport by rail, road, sea or air to withstand transit hazards and ensure safe arrival at the destination. The packing and marking of packages shall be done by and at the expense of the Tenderer/Supplier. The C-SAG will not pay separately for transit insurance, all risks in transit being exclusively of the Tenderer/Supplier and C-SAG shall pay only for such Items as are actually received in good condition in accordance with the Contract. 11 5. TEST CERTIFICATE: Wherever required, test certificates shall be sent along with the despatch documents. 6. ACCEPTANCE OF ITEMS: a) If required by C-SAG, the Items shall be made available by the Tenderer/Supplier for inspection at such places as may be specified by C-SAG at the Tenderer/Supplier 's own risk, expense and cost. b) It is expressly agreed that the acceptance of the Items ordered for, is subject to final approval by C- SAG, whose decision shall be final. c) If in the opinion of C-SAG, all or any of the items do not meet the performance or quality requirements specified in the Purchase Order, they may be either rejected or accepted at a price to be fixed by C-SAG and his decision as to rejection and the prices to be fixed shall be final and binding on the Tenderer/Supplier. d) If the whole or any part of the items supplied are rejected in accordance with Clause No. 6(c) above, C-SAG shall be at liberty, with or without notice to the Tenderer/Supplier, to purchase in the open market at the expense of the Tenderer/Supplier Items meeting the necessary performance and quality Contracted for in place of those rejected, provided that either the purchase, or the agreement to purchase, from another supplier is made within six months from the date of rejection of the Items as aforesaid. 7. REJECTED ITEMS: Rejected Items will remain at destination at the Tenderer/Supplier's risk and responsibility. If instructions for their disposal are not received from the Tenderer/Supplier within a period of 14 days from the date of receipt of the advice of rejection, C-SAG or his representative has, at his discretion, the right to scrap or sell or consign the rejected items to Tenderer/Supplier s address at the Tenderer/Supplier's entire risk and expense, freight being payable by the Tenderer/Supplier at actuals. 8. DELIVERY: The time for and the date of delivery of the items stipulated in the Purchase Order shall be deemed to be the essence of the Contract and delivery must be completed on or before the specified dates. 9. EXTENSION OF TIME: As soon as it is apparent that the Order dates cannot be adhered to, an application shall be sent by the Tenderer/ Supplier to C-SAG. If failure, on the part of the Tenderer/Supplier, to deliver the items in proper time shall have arisen from any cause which C-SAG may admit as reasonable ground for an extension of the time (and his decision shall be final) C-SAG may allow such additional time as he considers it to be justified by circumstances of the case. 12 10. PAYMENT: Tenderer/Supplier's bill will be passed for payment only after the Items have been received, inspected, commissioned and accepted by C-SAG. 11. MODE OF PAYMENT: Normally payment will be made for the accepted Items within 15 days from the date of acceptance of the materials. 12. INDEMNITY: The Tenderer/Supplier shall warrant and be deemed to have warranted that all Items supplied against this Contract are free and clean of infringement of any Patent, Copyright or Trademark, and shall at all times indemnify C-SAG against all claims which may be made in respect of the Items for infringement of any right protected by Patent Registration of design or Trade mark and shall take all risk of accidents or damage which may cause a failure of the supply from whatever cause arising and the entire responsibility for sufficiency of all means used by him for the fulfillment of the contact. 13. ARBITRATION: In the event of any question, dispute or difference arising under these conditions or any conditions contained in the Purchase Order or in connection with this Order (except as to any matter the decision of which is specially provided for by these conditions), the same shall be referred to the sole arbitrator who shall be the Chief Executive, C-SAG, Bengaluru. The award of the arbitrator shall be final and binding on the parties of this Contract. The Arbitration Act 1996 shall be applicable and shall be in English. The award of the Arbitrator shall be binding upon the parties. All matters of the tender shall be only within jurisdiction the courts of Bengaluru City, Karnataka. 14. COUNTER TERMS AND CONDITION OF SUPPLIERS: Where counter terms and conditions printed or cyclostyled conditions have been offered by the tenderer/supplier, the same shall not be deemed to have been accepted by the C-SAG, unless specific written acceptance thereof is obtained.
