Introduction: Madhya Pradesh Forest Department is inviting proposal from the reputed firms/companies or their authorized representatives in India as per eligibility criteria and general terms and condition for supply of Mobile Mappers as per specified specifications under Buy Back Offer. A two stage process is adopted for the selection of the bidder i.e. technical and financial bidding. Technical Bid should be given in cover 1 and consists of: (i) Technical Compliance Statement in the prescribed format only. (ii) Un-priced Bid in the prescribed format only along with the acceptance of general terms and conditions of MPFD, failing which the offer will be rejected. (iii) Earnest Money Deposit (EMD). (iv) Data sheets of the Mobile Mapper 1 and Mobile Mapper 2 offered. (v) Sales tax registration and PAN copies. (vi) Company registration certificate. (vii) Bidder should have well established service / support centre in Madhya Pradesh. Bidder to mention clearly full address of technical support centre at Madhya Pradesh. Financial Bid should be given in cover 2 and consists of price information in the prescribed price bid format only along with general terms & conditions. 2. No price information should be reflected anywhere in the Technical Bid, failing which the offer will be rejected. 3. Software upgrades / updates, if any, should be supplied free of cost during the warranty period. 4. Bidders are requested to offer reputed brands. 5. If the bidder quotes for more than one model, they should submit the separate technical compliance statement and data sheets for each model along with technical Bid (Cover-1). Similarly, bidder should also submit the price bid separately for each model in Cover-2. 10

14 Quotation: The RFP document must be submitted in two bid system i) Sealed Envelops (Cover-1 Technical Offer along with EMD, Cover-2 Price Bid) and (ii) super scribed with Ref. No., Due Date, Technical Bid & Price Bid separately so as to reach this office on or 1 before 1500 Hrs of July 26, Delay in submission of RFP (including postal delay) will not be considered under any circumstances. A pre bid conference is organized on 21 st July 2014 at 11 AM in the APCCF Office Satpura Bhawan Bhopal (M.P.) 2 Validity: The offer submitted is to be valid for a period of 90 days. Payment: 90% will be released upon receipt, installation and acceptance mobile mappers. 10% will be paid after successful completion of warranty period or against submission of 3 advance bank guarantee for the like amount from any Nationalized bank valid for warranty period of three years. No advance payment/s will be allowed and no other payment terms will be Considered. Delivery and execution of the total scope specified: 6-8 weeks from the date of issue of 4 purchase order. Warranty: MPFD needs to have a warranty of satisfactory performance and trouble free operation for a period of 3 years from the date of installation. The supplier shall be responsible for any defects that may be developed under the conditions provided for by the 5 bidder and under proper use arising from faulty material design and workmanship and shall remedy such defects at their own cost when called upon to do so. If it becomes necessary for the bidder to replace or renew any defective portion of the Goods, the supplier should make such replacements or renewals without any extra cost to Forest Department. Earnest Money Deposit (EMD): Tenderer to submit 5 % EMD of Total Amount for Rs 4,00,000./- (Rupees four lakh only), EMD should be submitted along with technical bid 6 (cover I) by way of Demand Draft/Pay Order drawn in favour of Joint Director (Admin) MP Forestry Project, Satpura Bhawan, Bhopal payable at Bhopal, or Bank Guarantee from any Nationalized Bank. Technical Bid without EMD is liable to be rejected. Security Deposit: Successful Tenderer is to submit 5% of the Order value towards Security Deposit by means of Demand Draft drawn in favour of Joint Director (Admin) MP Forestry Project, Satpura Bhawan Bhopal payable at Bhopal, or Bank Guarantee from any Nationalized Bank valid for a period of 42 months. 7 The EMD submitted by the successful tenderer may be converted as Security Deposit and the balance amount required (5% of order value) to be submitted in the form of Demand Draft / Bank Guarantee for the purpose of fulfillment of the contract. This deposit will be free of interest and is refundable after the satisfactory execution of the contract and complete fulfillment of contractual obligations. Liquidated Damages Clause: In the event of failure to deliver and install the Mobile Mappers within stipulated date/period as specified in point No.4 above or as per our specifications and in the event of breach of any of the terms and conditions mentioned in the Purchase Order, Madhya Pradesh Forest Department shall have the right. a) To recover from you as agreed liquidated damages a sum not exceeding 0.5% of the price of any stores which the successful bidder has not been able to supply and install 8 as aforesaid for each week or part thereof subject to a maximum of 10% of the total price. b) To purchase elsewhere, after due notice to the successful bidder on the account and at the risk of the defaulting supplier the stores not supplied or others of a similar description without canceling the work order in respect of the job not yet due for supply or c) To cancel the supply order or a portion thereof and if so desired to purchase the stores 12

15 at the risk and cost of the defaulting supplier and also. d) To extend the period of delivery with or without penalty shall not be more than agreed liquidated damages referred to in clause (a) above, e) To forfeit the security deposit full or in part at the discretion of Principal Chief Conservator of Forests, Madhya Pradesh Forest Department Bhopal. Force Majeure Clause: If the execution of the contract / supply order is delayed beyond the period stipulated in the contract as a result on out-break of hostilities, declaration of an embargo s or blockage or fire flood, acts of nature or any other contingency beyond the supplier s control, PCCF, Madhya Pradesh Forest Department may allow such additional time by extending the delivery period as he considers to be justified by the circumstances of the case and his decision shall be final, conclusive and binding. If and when additional time is granted by the MPFD, the contract/supply shall be read and understood as if it had contained from its inception the delivery date as extended. Patent Indemnification Clause: The Contractor shall indemnify and keep indemnified the purchaser from and against any and all claims, action, cost charges and expenses arising from or for infringement of patent rights, copy right and other protected rights of any design, plans, diagrams drawings in respect of the stores supplied by the contractor or any of the manufacturing methods or process adopted by the contractor for the stores supplied under the contract. In the event of any claim being made or action being brought against the purchaser in respect of the matter referred above, the contractor shall promptly be notified thereof and he shall at his own expense, conduct all negotiations for settlement of the same and any drawings, plans or diagrams or any manufacturing methods or of any patent or any other protected rights and use thereof is at no cost to the latter, the rights to continue using the same or to the extent it is possible to replace the same so as to avoid such infringement and subject to approval by the purchases or modify them so that they become noninfringing but such modifications shall otherwise be to the entire satisfaction of the purchaser. The provision of this clause shall remain effective and binding upon the contractor even after the completion, expiration or termination of the contract. Other special conditions: i. MPFD does not bind itself to purchase any / all the quantity and to accept the lowest proposal and reserves to itself the right to increase or decrease the quantity. MPFD further reserves the right to split the order among more than one tenderer if considered necessary. ii. In case of any difference in quantity of buy back offer, pro rata rates will be applicable for that item. iii. Intending tenderer or their authorized representatives will be at liberty to be present at the time of opening of RFP on the specified date as given in this Document. If the date fixed for opening of the proposal is declared to be a holiday, at a later date the proposal will be opened at the same time on the next working day following the holiday or holidays. iv. Documents required along with shipment for High Sea Sales Purchase (Invoice in triplicate of the Indian Subsidiary and well as the Foreign Supplier, Packing List in triplicate, Original Airway Bill, Country of Origin certificate, Test Certificate, Preshipment inspection/qc passed certificate, Warranty undertaking) should be submitted by the contractor. v. Standard format of High Sea Sales Agreement will be signed by MPFD upon submission of the same by the contractor. Documents such as DSIR Registration Copy, Customs Duty Exemption Certificate duly signed by the Head of the Institute 13

16 and Authorization will be provided by MPFD. 12 vi. The PCCF, MPFD reserves the right to choose, accept or reject any or all requests / offers, in full or part, at any stage, reduce or increase the quantity without assigning any reasons therefore. The quantity/number shown in the document is only indicative. vii. A copy of the terms and conditions laid down here may please be attached along with the quotation, duly signed by the firm in token of having understood and agreed to the same. viii. In case of any dispute or differences arising at any time between MPFD and the firm holding the contract, these shall be resolved in terms of the Arbitration and Conciliation Act 1996 and held at Bhopal, MP only. Further, this contract is subject to laws of India alone. The PCCF, MPFD reserves the right to choose, accept or reject your offer, in full or part, at any stage without assigning any reasons therefor. 14
