2 SIGNIFICANT EVENTS OF THE YEAR Just six years after it etered the mobile market, the Group has become oe of the leadig electroic commuicatios operators i Frace, with more tha 20 millio subscribers, of which 13.7 millio mobile subscribers ad more tha 6.5 millio Broadbad ad Ultra-Fast Broadbad subscribers. At December 31, 2017, it had market shares of 24% 2 for Broadbad ad Ultra-Fast Broadbad ad 19% 3 for mobile. Durig 2017, the Group opeed some 3,700 ew 3G sites, brigig its total to almost 12,200 at December 31, 2017 ad exceedig its origial target of havig 12,000 by that date. Its 3G coverage rate at ed-2017 was 94% of the Frech populatio. Ogoig itese rollout of the 4G etwork i The Group pursued its 4G rollout drive throughout 2017, which eabled it to (i) equip over 4,300 4G sites to use 1,800 MHz frequecies ad (ii) ope more tha 700 sites usig 700 MHz frequecies. These rollout efforts explai the Group s high score for 4G coectios i Frace i the Perf mobile coectios performace survey. Durig the year the Group cotiued to exted ad ehace the quality of its 4G etwork, which covered 86% of the Frech populatio at ed-december Italy's fourth mobile etwork operator: the Group made good progress i preparig for the lauch of its mobile offerigs. Throughout the course of 2017 the Group set up the techical architecture ecessary for lauchig its mobile services i Italy. At the same time, it put i place the orgaizatioal structure for its Italia subsidiary by (i) hirig some 80 people ad (ii) takig o a etire maagemet team based i Italy i order to successfully carry through its project. A 6% overall icrease i cosolidated EBITDA, with a mixed picture for the two busiesses: a sharp rise i profitability for Mobile ad a cotractio for Ladlie. Cosolidated EBITDA came to 1,777 millio i The year-o-year rise was wholly attributable to the sharp icrease i profitability for the Mobile busiess, thaks to a higher proportio of traffic carried directly o the Group's ow etwork ad a improved mobile subscriber mix. Coversely, EBITDA for the Ladlie busiess was egatively affected durig the year by (i) regulatory decisios, otably a 0.35 rise i ubudlig fees to 9.45 per moth, (ii) higher payroll costs due to the acceleratio of the FTTH etwork rollout, (iii) the measures take to erich the Group's offerigs, otably the TV by CANAL Paorama package, ad (iv) carryig out oe-off promotios. Cosolidated EBITDA was also adversely affected by iitial losses icurred by the start-up of operatios i Italy. Double-digit growth i profit from ordiary activities (up 16% to 862 millio) ad profit for the period from recurrig operatios (up by early 20% year o year). The icrease i profit from ordiary activities was fueled by the higher EBITDA figure as well as slightly lower depreciatio ad amortizatio expese for the year. Profit for the period from recurrig operatios (i.e. excludig the exceptioal icome tax cotributio for 2017) icreased sharply oce agai, comig i at 480 millio, despite the egative effect of the start-up losses i Italy. Betwee 2014 ad 2017, profit for the period from recurrig operatios was up by almost 75%. 3

7 CONSOLIDATED INCOME STATEMENT Reveues Cosolidated reveues for 2017 rose by 5.6%, or 265 millio, reachig early 5 billio. Despite persistetly fierce competitio, the Group recorded a 3.5% icrease i Ladlie reveues (to 2,783 millio) ad a 8.4% rise i Mobile reveues (to 2,214 millio). Gross profit At 2,630 millio, cosolidated gross profit was almost 10% higher tha i As a percetage of reveues, gross profit climbed early 2 percetage poits to 52.7%, reflectig the combied impact of two cotrastig treds: (i) a very sharp icrease i profitability for the Mobile busiess, particularly thaks to the improvemet i the subscriber mix ad higher volumes carried directly o the Group s ow etwork, ad (ii) a cotractio i gross profit margi for the Ladlie busiess due to the effects of promotios, higher ubudlig fees, ad the impact of the TV by CANAL Paorama package. 9 Metropolita Frace excludig M2M. 8

9 EBITDA Cosolidated EBITDA advaced 6% year o year to 1,777 millio ad the EBITDA margi wideed slightly to 35.6%. The EBITDA margi posted by the Mobile busiess rose sharply whereas for the Ladlie busiess it was weighed dow by various adverse effects. The mai factors affectig EBITDA i 2017 were as follows: Further ecoomies of scale achieved for the Mobile busiess's fixed costs. The cotiued sigificat growth of the Mobile busiess eabled the Group to achieve further ecoomies of scale i terms of its fixed cost base (etwork, advertisig ad admiistrative costs, etc.) ad to capitalize o its status as a itegrated operator (ladlie/mobile), despite the extesio of roamig services to additioal coutries ad the ed of roamig charges i Europe sice Jue Better mobile etwork coverage. Thaks to the itese rollout of ew mobile sites i 2017 the Group was able to cosiderably improve its mobile etwork coverage durig the year (with the coverage rate up by 5 percetage poits for the 3G etwork ad 10 poits for 4G). This eabled it to icrease the volume of traffic carried directly o its ow etwork. The fact that more tha oe i two mobile subscribers are ow siged up to the Free Mobile Ulimited 4G Pla (100 GB for o-freebox subscribers). All ew subscriptios i 2017 were for the Free Mobile Pla ad the subscriber base has begu to decrease for the 2/moth pla ( 0/moth for Freebox subscribers). Lower profitability for the Ladlie busiess, stemmig from the dilutive impact of (i) the 0.35 rise i ubudlig fees per moth ad per subscriber durig 2017 (from 9.10 to 9.45), (ii) the ew TV by CANAL Paorama package, (iii) the icrease i certai taxes (the COPE tax ad IFER tax), (iv) the payroll rise due to the expasio of the FTTH busiess, ad (v) promotios. A slight egative impact caused by the losses icurred i 2017 o the start-up of operatios i Italy, correspodig to iitial project lauch costs. Profit from ordiary activities Profit from ordiary activities amouted to 862 millio, up 16% o the 2016 figure. The year-o-year icrease reflects (i) the higher EBITDA figure ad (ii) slightly lower depreciatio/amortizatio expese. Depreciatio/amortizatio expese decreased to 911 millio i 2017, primarily due to the ed of the Freebox Revolutio s depreciatio cycle (which bega i 2010). As a percetage of reveues, profit from ordiary activities rose by 1.5 poits to 17.3%. Profit for the period Profit for the period from recurrig operatios also rose sharply, climbig almost 20% i 2017 to 480 millio ad represetig a ear-75% hike over the last three years. However, the bottom-lie figure of profit for the period edged up just 0.5% to 405 millio. This was attributable to the highly adverse effect of the exceptioal icome tax cotributio itroduced by the Frech govermet towards the ed of the year, which amouted to 76 millio. 9

At December 31, 2017, the Group had gross debt of 2,665 millio ad et debt of 2,449 millio. The Group maitaied its solid fiacial structure durig the year ad its leverage ratio at December 31, 2017 was 1.4x EBITDA. At the same time, it also had a very strog liquidity positio. 12 ACQUISITION OF A 31.6% INTEREST IN EIR O December 20, 2017 the Group aouced its acquisitio, for c. 320 millio, of a 31.6% miority iterest i eir Irelad s icumbet telecom operator, alogside NJJ (Xavier Niel s private holdig compay). The existig shareholders of eir Achorage Capital Group, L.L.C. ad Davidso Kemper Capital Maagemet LP have retaied a iterest i the compay, through a 35.5% equity stake ad a o-recourse loa istrumet. Iliad s miority stake i eir forms the basis of a strategic partership with a leadig operator, with a possibility of ultimately takig over cotrol of the compay thaks to a call optio grated. This call optio is exercisable i 2024 ad would eable Iliad to acquire 80% of NJJ s stake i eir (i.e. 26.3% of eir s capital) at a 12.5% discout to fair market value, as determied by a idepedet valuatio expert, ad with a floor calculated based o a aual yield of 2%. I the medium term through this ivestmet, Iliad expects to beefit from a divided stream ad a double-digit retur o equity. Over the medium/log-term, Iliad has a possibility of ultimately takig over cotrol of the compay thaks to a call optio grated to Iliad by NJJ o 26.3% of eir s capital, exercisable i Accoutig treatmet The miority ivestmet i eir will be accouted for uder the equity method, i accordace with Iteratioal Fiacial Reportig Stadards (IFRS 10, IFRS 11 ad IAS 28), ad will therefore have a limited impact o the Group leverage (c.+0.2x EBITDA) because eir s debt will ot be cosolidated.
