Other businesses as required by the Board of Directors - Roles & Responsibilities of Companyûs Audit Committee 1. To ensure the correctness and creditability of the Companyûs Financial Statements. 2. To ensure that the Company has an adequate and efficient internal control and internal audit systems. 3. To consider, screen and propose the appointment of Companyûs auditor and determine appropriate remuneration 4. To ensure that the Company complies with the relevant laws and regulations. 5. To ensure that there is no any conflict of interest. 6. To carry on other matters assigned by the Board of Directors. 7. To publish and disclose an audit committee report in the Companyûs Annual Report. Such report must be signed by Audit Committee Chairman. Procurement of Companyûs Directors & Management As the Procurement Committee is now under the settingup process, the company has no specific committee to elect directors. However, the appointment of the Companyûs directors has been done by a resolution of Shareownersû Meeting. The qualification of the appointed directors must meet the requirements and conform to the laws. 83 Righteousness and tranquility are fundamental elements to human resource management.

Appointment Procedures of Companyûs Directors. According to Companyûs Articles of Association : Chapter 3 çboard of Directorsé Article 21 stipulating that the directors shall be elected at the Shareownersû Meeting in accordance with the following rules and procedures: 1. A shareowner shall have one vote for one share. 2. Each shareowner must exercise all of the votes he or she has under 1. to elect one or several persons to be a director or directors and must not allot his or her votes to any person in any number. 3. The persons having the highest number of votes to the lower number of votes in order shall be elected as the directors equal to the number of directors to be elected by the Shareownersû Meeting in such election. In case where the number of votes for the candidates in descending order are equal which would otherwise cause the number of directors to be elected by the Shareownersû Meeting to be exceeded in such election, the Chairman shall have a casting vote. Removal - Termination According to the Companyûs Articles of Association : Chapter 3 çboard of Directorsé Article 22 stipulating that at every Annual General Meeting, one-third (1/3) of the directors shall retire from office. If the number of directors cannot be divided evenly into three (3) parts, the nearest number to such one-third (1/3) of the directors shall retire from office. The retirement of directors in the first and second years after registration of the Company shall be effected by drawing lots. In the subsequent years, the directors holding office the longest shall retire. - Termination by special condition 1. The shareownersû meeting is held once a year at a date, time, and venue deemed appropriate by the company. The complete information is delivered to the shareowners for consideration at least 7 days prior to the date of the meeting. The registration must be made at least 2 hours before the meeting starts. The shareowners are given opportunities to ask questions and express their opinions at all times during the meeting. In the year 2004, the company shall provide additional alternatives to shareowners by authorizing independent directors to act for the shareowner who is unable to attend the meeting. For stakeholders, the company guarantees that their rights will be honored and treated appropriately. The Board of Directors: the structure and responsibilities (principles # 5,8,9,11,12 and 14) 1.The Board of Directors The Companyûs Board of Directors comprises of 13 members as follows : - Independent & non-management Chairman 1 person - Non-Management Director 1 person - Audit Committee Member 3 persons - Management Director 8 persons Companyûs Board of Directors consists of Independent Directors at least one - third of all the Directors. At present, the company has four independent non management Directors and non-management Chairman who has not held the same position as Chairman of management Board, in order to diversify management responsibilities. The directorsû term in office is as specified in the Companyûs Articles of association and at the end of the term, each of them may be re-elected. The Board of Directors has certain responsibilities to set up policies, objectives and business strategies as well as monitoring the companyûs operation by appointing the Executive Board and Audit Committee while assuring that each of this committee group has clear role and responsibilities to ensure that all the operation and performance meet the companyûs policies and objectives. The Board of Directorsû meeting has been set in advance to be monthly held for the whole year. Prior to the meeting as set by the Law, the secretary of the board will send an invitation letter together with the meeting agenda as well as any relevant documents to the board for consideration. Directors can submit any additional items to the agenda and can openly debate any comments. The minutes of the meeting which has already been approved and certified by the board are properly kept for any further review or audit by the board and any relevant parties.
